Terms Of Service

Important

The Terms of Service (“TOS”) hold important information relating to an agreement Your Business (“You”, “Legal entity and its affiliates”) will establish with Garage Hive Limited (“Garage Hive”, “We”, “Us”) and other pronouns. Please note that only authorised representatives of your business must accept and sign the TOS and contract to guarantee you rights to use the services provided by Garage Hive.

Definitions

General

Governing Laws

This Agreement shall be governed by and construed under the laws of England. British courts shall have exclusive jurisdiction to adjudicate any dispute arising under or in connection with this Terms of Service

Data protection

Your data is protected according to Applicable Privacy Law and GDPR.

Changes

We reserve the right to change, modify, add or retract/delete all or any term(s) of this TOS. If you have a subscription/account with us, you will be notified about the TOS changes at least 30 days in advance by email. You will be contacted through the same email address indicated in the Order Form for billing purposes.

Ordering

You may order additional Garage Hive services by email, by direct call to support or through the JIRA ticketing system if you want to make changes to your subscription.

Use of Garage Hive Services

Subscription

The initial term of the Garage Hive subscription plan is a one-month rolling contract from the subscription start date, except for a few exceptions. After the first month, you may terminate at any time. Autodata (quarterly) and Microsoft 365 (annual) are the exceptions where the commitment is longer than one month.
By signing the Order Form, you agree to TOS. Order Form and Direct Debit mandate or other payment agreement must be signed before the subscription start date. In case of failure to do so, all proposed dates (Subscription Start, Remaining User Activation, and Proposed Go-Live dates) are no longer valid.

System Access

You are exclusively responsible for keeping the security of your account, passwords, and files.

System Setup

System Setup includes initial system preparation with Data Migration and initial system guide through sessions before the Go-live date.

Implementation

Our Software Consultation Service provider – GH Launch, will go through Garage Hive’s system setup with you. Additional costs with On-site and Remote installs must be paid directly to GH Launch’s according to their payment terms.

Changes in Your Subscription

Users

If you order an additional user, be aware that it can take up to 2 working days to set it up, but usually, it takes a couple of hours.
If you add a user in the middle of the billing period, you will be charged for the remaining part of the month.
If you remove a user in the middle of the billing period, you will be charged for the total monthly cost.

Additional Software Services

A list of Additional Software Services can be found in the pricelist. Depending on your selected Subscription Plan, the Services with monthly costs can be added or removed anytime in your billing cycle. Services with Variable Costs do not require to be requested to be added to your subscription. Once you have used the free units, anything extra will be added to your next invoice.

Software Consultation Services

These can be requested and arranged when needed. The Professional Services are subject to availability. These services are charged separately. There is no predefined pricelist. All costs are agreed upon case-by-case by email between you and the Software Consultation Service Provider.

Support

All subscriptions come with a free Garage Hive customer support service and detailed documentation pages for your use, full of helpful guides on the docs website. You may contact our support centre by email or phone line. If you require more extensive assistance, e.g., on-site training or in-depth consultancy, professional services can cover this and may involve an additional charge.

Billing and Payment Terms

Invoice

You are charged based on our monthly calendar billing cycle; subscription invoices are sent out on the 1st of every month. For example, if you subscribe to the system on the 20th of April, you will receive the first invoice for the period from the 20th of April until the 31st of May on the 1st of May.
The standard payment term is 14 days.
All charges are in Great Britain Pound (GBP) for the United Kingdom or Euros (EUR) for the Republic of Ireland. Fees for your account are payable regardless of whether the services are being utilised by you or not. All fees are non-refundable.
Payment will be deducted from your bank account if you have signed the Direct Debit Mandate or via bank transfer in cases that require a special payment agreement.
The package of free monthly units is provided per workshop location with at least one full user per location. For example, if the organisation has a multi-location setup with 3 workshops, you will get 200×3=600 free monthly Postcode Lookups. These units expire at the end of the month and are not transferrable to the next month. Any usage exceeding the free unit limit will be added as an additional cost to your invoice.

Refund

No refund is available if you wish to cancel the subscription mid-period; you must pay for the whole calendar month or quarter, depending on the type of service commitment.

Failure of payment

You must pay the fee or any part thereof within 10 days after its due date; in case you fail to do so, we may take the following steps:

Termination and Suspension

We may, without liability, suspend or terminate any or all our services due to

We may, without liability, terminate your account for any other reason or without cause upon at 6-month notice. You may terminate your account for any reason at any time. To ensure your subscription account is closed, you must sign the cancellation form to approve the end date of your subscription and the collection of your data. All the services we offer are automatically ended, and you may no longer have access to any of our services. We offer no refund for any of the remaining terms.
Your data will be kept with us on secure cloud storage for 3 months after the termination of your account.

Services and Maintenance

Maintenance

Our services may be momentarily unavailable due to maintenance by Garage Hive at any time, without prior notice, for causes beyond our reasonable control.
We do not warrant that the services will be uninterrupted, mistake-free, or secure. Garage Hive Limited makes no service warranty about the results acquired from the use of our services. The services are given “As is”.

Database Backups

Database backups are automatically created and stored in secure cloud storage that we manage.

Sharing Your Data with Garage Industry Trends

You may opt-in to the Garage Industry Trends service to share your business data with the public website https://www.garageindustrytrends.com.
The data is anonymised, and you can see which data elements are shared in the Garage Hive system.
Once the data has been shared, it arrives in the public domain and cannot be recalled.
You can opt out anytime from the service and stop sharing new data.
